Veris Investments is an independent investment company that makes equity and mezzanine
investments in companies and projects with activities in the food value chain in Sub-Saharan Africa.

The position
As a legal counsel at Veris, you will take on a vital role in our team of 10 professionals. You will be
hands-on involved in the legal aspects of our portfolio, including acquisitions and exits, as well as
overseeing and advising on strategic legal matters at portfolio companies abroad (in consultation
with local counsel, if needed). Next to this, you will also be responsible for the corporate, commercial
contracts, tax and (financial) regulatory matters within Veris . This role requires that you are broadly
interested, not afraid to deep dive into new topics, work fairly independent on legal aspects of
transactions and steering and partnering with external (legal) experts where needed. This role will
provide you with the opportunity to gain broader experience and approaching topics from a wider
frame together with our portfolio team.
Detailed responsibilities include

Portfolio responsibilities:
  • Contributing to investments out of your expertise from the beginning
  • Providing expert legal advice to internal stakeholders on a wide range of legal matters related
to investments, contracts, project development and regulatory compliance
  • Guiding local legal counsels, external lawyers and advisors as needed
  • Drafting legal documents for transactions
  • Handling legal disputes and litigation matters, working closely with external counsel when
necessary
  • Contracting, contract management and maintaining legal files (draft, review, and negotiate
various contracts) and processes

Corporate responsibilities:
  • Preparing meetings for the supervisory boards and investment committee (incl. drafting
agendas and meeting notes)
  • Monitoring and ensuring compliance with applicable financial supervisory legislation
(including KYC) and maintaining contact with DNB and AFM
  • Maintaining corporate housekeeping
  • Day to day legal advice on (potential) litigation, tax, employment, commercial contracts and
legal developments
Job requirements & qualifications
  • At least 4-6 years of relevant experience as a lawyer within the transaction practice (for
example in M&A or projects) of an established law firm, preferably combined with at least 2
years inhouse experience in a corporate and commercial or M&A role within a corporate,
bank or investment firm
  • Significant experience with corporate law and a good understanding of M&A/investment
transactions. In house experience with commercial contracts is a plus
  • Knowledge of applicable financial regulations and basic compliance experience, experience
with KYC/AML screening procedures
  • Basic knowledge of tax laws and ability to understand and steer external advisors on tax
topics
  • Ability to learn quickly and take responsibility for a legal function covering a broad range of
legal, compliance and tax topics
  • Excellent negotiation, drafting, and communication skills
  • Ability to work independently and collaboratively in a fast-paced environment
  • Practical and flexible approach to work and mentality to ‘get things done’
  • Commitment to producing high quality of work, with attention to detail and perseverance
  • Affinity with impact investing and/or Africa and willingness to travel to Sub-Saharan African
countries
  • Practical understanding of doing business in Sub-Saharan Africa is a plus
